Effective April 1, 2026

These Prodagi.ai Terms of Service (the "Agreement") are between the entity or person placing an order for, or accessing, any Prodagi.ai services ("Customer," "you") and Prodagi.ai ("Prodagi.ai," "we," "our"). By accessing or using our services, you agree to be bound by this Agreement. If you do not agree, do not use the services.

1. Services

1.1 Overview. Prodagi.ai provides a software-as-a-service platform that enables businesses to embed and manage AI chatbot interactions across web and mobile properties. Specific features and usage limits are described in the applicable order form or subscription plan.

1.2 Subscription. Services are provided on a subscription basis for a term specified in your order form. You may only access and use the services for your internal business purposes and in accordance with this Agreement, the documentation and any usage restrictions set forth in the order form.

1.3 Permitted Users. Only your employees and independent contractors ("Permitted Users") may access the services using your credentials. You are responsible for the actions of Permitted Users. Credentials may not be shared or used by more than one person.

1.4 Trial Services. If you register for a trial, the services are provided 'as is' for evaluation purposes only and without any warranties or commitments. Trials will automatically terminate at the end of the trial period unless converted to a paid subscription.

2. Customer Data

2.1 Rights. You retain all rights to data, content and other information that you submit to the services ("Customer Data"). You grant Prodagi.ai a worldwide, non-exclusive right to access, process and use Customer Data to provide and improve the services.

2.2 Responsibilities. You are solely responsible for the accuracy, content and legality of Customer Data and the way you collect, use and disclose such data. You represent and warrant that you have all necessary rights and consents to collect and use Customer Data and that your use of the services and Customer Data complies with all applicable laws.

2.3 Sensitive Data. You may not submit Sensitive Personal Information (such as health information, government identification numbers, or financial account details) to the services unless expressly agreed in writing by Prodagi.ai.

3. Payment

3.1 Fees. Fees are as specified in the applicable order form and are billed in advance of each subscription term. You are responsible for all taxes, levies or duties imposed by taxing authorities, except for taxes based on our income.

3.2 Late Payments. Overdue payments may bear interest and we may suspend the services for failure to pay fees when due.

4. Confidentiality

Each party agrees to protect the other party’s non-public information as confidential and use it only to fulfill obligations under this Agreement. This section does not apply to information that is public or lawfully received from a third party.

5. Intellectual Property

Prodagi.ai and its licensors retain all rights in the services, documentation, software and underlying technology. Except as expressly granted, no rights are conveyed to you.

6. Term and Termination

6.1 Term. This Agreement remains in effect until your subscription expires or terminates. Either party may terminate the Agreement with notice if the other party materially breaches this Agreement and fails to cure the breach within 30 days.

6.2 Effects of Termination. Upon termination you must stop using the services and delete any Prodagi.ai code or confidential information in your possession. We may delete your Customer Data after termination.

7. Warranties and Disclaimers

The services will operate substantially as described in the documentation. Except for the foregoing warranty and to the extent permitted by law, the services are provided 'as is' without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

Prodagi.ai’s liability for damages arising out of this Agreement will not exceed the amount you paid for the services in the 12 months preceding the claim. Neither party will be liable for consequential, incidental, special or punitive damages, even if it knew they were possible.

9. Indemnification

You will indemnify Prodagi.ai against claims by third parties arising from Customer Data or your use of the services in violation of law or this Agreement.

10. General

This Agreement constitutes the entire agreement between the parties regarding the services and supersedes any prior agreements. Any amendments must be in writing. This Agreement is governed by the laws of United States of America and any disputes will be resolved in the courts of United States of America.
